Terms and Conditions

Limitation of Liability

  • You release and at all times indemnify and keep indemnified Sprout and its officers, employees, service providers and agents (referred to as Those Indemnified) from and against all actions, claims, proceedings and demands (including those brought by third parties) which may be brought against Those Indemnified, whether on their own or jointly with you and whether at common law, under tort (including negligence), in equity, pursuant to statute or otherwise, in respect of any loss, death, injury, illness or damage (whether personal or property, and whether direct or consequential, including consequential financial loss), arising directly or indirectly out of or in connection with:
    • the attendance and/or participation in a Sprout cooking class, demonstration, catering event or consultancy services;  
    • Sprout providing its services (including but not limited to catering, cooking classes, demonstrations and consultancy services) to or in conjunction with a third party; 
    • any event organised by Sprout as the case may be; or
    • any Product sold by Sprout.
  • The indemnity will extend to all costs (including reasonable legal costs), damages and expenses incurred by Sprout.
  • Despite any other term and to the maximum extent permitted by law, Sprout will not bear any liability to you for consequential loss including loss of profits, loss of business opportunities or loss of goodwill howsoever arising (including in negligence).

General

  • These terms constitute the entire agreement between the parties in respect of its subject matter, and supersede all prior agreements, representations, negotiations and correspondence.
  • These terms will be governed by the laws of South Australia and the parties irrevocably submit to the non-exclusive jurisdiction of the courts in that state.
  • Sprout prohibits smoking on or around the premises.
  • Participants must follow all reasonable directions by Sprout; and
  • Sprout reserves the right to refuse entry or remove from the premises any person for any reason at their sole and absolute discretion.
  • Alcohol is permitted to be consumed only within the premises and at the direction of Sprout staff and in line with liquor licensing laws.
  • Sprout does not in any way promote or condone drink driving and encourages participants to make alternative travel arrangements should they choose to consume alcohol during a class.

Payment Policy

  • Payment is accepted by secure online payment only. Our Credit Card Transaction Privacy Policy appears at the bottom of this page. Sorry, we do not take class bookings over the phone.

  • Gift vouchers can be redeemed by quoting the Voucher Number in the Voucher/Code box when booking. Gift vouchers must be redeemed online at the time of booking and brought to the class for verification. Sorry, gift vouchers cannot be presented for redemption on the night.

Cancellation & Refund Policy (Sprout public events)

Sprout does not offer refunds or credit notes for:

  • ‘change of mind’ reasons or non-attendances due to illness or injury;
  • if a Person does not attend an Event or Service; 
  • if a Person fails to access online Services within an allocated period; or
  • if a Person fails to meet these Terms and Conditions and Sprout’s Policies.

2 weeks or less notice: No refunds, transfers or credit notes. You are welcome to send someone in your place to attend a Sprout class or Service - please simply email us their name, contact number and any dietary requirements and we will do our best to accommodate them.

More than 2 weeks notice: No refunds. We are happy to issue you with a credit note which you can use to enrol into a different Sprout class or Service or use on a later date.

Cancellations using gift vouchers: If you cancel a class or Service which you have booked through redemption of a gift voucher, the same cancellation terms as above will apply, and your credit note will take the form of a re-issued gift voucher with the original expiration date. If you cancel a booking using a gift voucher 2 weeks or less prior to a class or Service, or your gift voucher expires before the date of your class or Service, your voucher will not be re-issued.

We do not send reminder notices for our classes and Services. If you miss the class, we do not provide refunds or credit notes.

Australian Consumer Law We comply with our obligations under the Australian Consumer Law. To the extent that any of the refund/return/replacement rights stated on our website are inconsistent with your rights under the Australian Consumer Law (found at Schedule 2 to the Competition and Consumer Act 2010) your statutory rights will prevail.

What if Sprout cancels or reschedules a class or Service?

If we ever need to cancel, reschedule or relocate a class or Service, we will notify you as soon as possible. In the event a class or Service is rescheduled or relocated and you are unable to attend as a result, we will of course provide you with a full refund using the same method by which you paid, or (if you prefer) a credit note for you to attend another class or Service at a later date.

Cancellation & Refund Policy (Sprout private events)

Sprout does not offer refunds or credit notes for:

  • if a Person does not attend an Event or Service; 
  • if a Person fails to access online Services within an allocated period; or
  • if a Person fails to meet these Terms and Conditions and Sprout’s Policies.
  • If a booking is cancelled more than four (4) weeks before an Event, Service or Product is delivered, the deposit is retained by Sprout.

  • If a booking is cancelled less than four (4) weeks before an Event, Service or Product is delivered, the balance becomes immediately payable, or if already paid, is not refundable.

  • A client can reschedule an Event, Service or Product more than six (6) weeks before their Event, Service or Product delivery at no extra charge.  A future date must be determined at the time of rebooking.  The new date must be scheduled within 12 months from the original date booked.  Events, Services or Products can only be rescheduled once.  Clients that reschedule their event more than once will forfeit their deposit and the remaining balance will be payable. Sprout cannot guarantee that your request can or will be accommodated. You are not entitled to a refund or any further compensation if Sprout is unable to accommodate your request and/or if the Event, Service or Product is rescheduled, relocated or cancelled as a result of your request.

  • A client can reschedule an Event, Service or Product two-six (2-6) weeks before their Event, Service or Product delivery for an additional fee of $500, with their deposit remaining in credit towards their next Event.  A future date must be determined at the time of rebooking. The new date must be scheduled within 12 months from the original date booked.  Events, Services or Products can only be rescheduled once.  Clients that reschedule their event more than once will forfeit their deposit and the remaining balance will be payable. Sprout cannot guarantee that your request can or will be accommodated.   • No Events, Services or Products can be rescheduled with less than two (2) weeks notice.

Whilst Sprout endeavours to ensure its website is functioning correctly at all times, it will not be held liable for any loss, damage, cost or expense (whether direct or indirect) incurred by you as a result of the Sprout website being unavailable.

These external sites are not controlled by Sprout and Sprout accepts no responsibility or liability for the nature or content of those sites. Further, by displaying a link to an external site, Sprout in no way implies any endorsement or affiliation with those sites nor any of the views contained within them.

Contractual Warranties

By booking a cooking class with Sprout you enter a contract with us in which we guarantee to reserve a place for you in the selected class, and you guarantee to attend that class. By booking a class with Sprout you agree to have read and accepted the terms and conditions displayed on the Sprout website or any external site used by Sprout from time to time.

Credit Card Transaction Privacy Policy

We acknowledge and respect the privacy of individuals. We advise that any information given will be treated in accordance with the Privacy and Personal Information Act 1998.

Personal information provided to us will only be shared, and only that information which is absolutely necessary, where required by law and with those third parties that are involved in the processing of your order. For example, the financial institution that issued your credit card and Australia Post who will deliver your order.

All credit card information is encrypted during transmission, using Secure Socket Layer (SSL) technology in our checkout process. You will always be able to identify a secure website when you can see a small padlock icon that appears either in at the bottom of your browser or in the address bar at the top of the screen. No credit card information is stored on this site, all payment processing is provided by the NAB Payment Gateway which is fully PCI DSS compliant. PCI DSS (Payment Card Industry Data Security Standard) is a set of standards created by card issuers such as Visa and MasterCard to ensure the security of credit card details online. This standard has been created to assist in ensuring that sensitive customer data remains secure at all times.

General Privacy Policy

Sprout may from time to time collect or obtain your personal information through various means, such as when you visit Sprout’s website, email Sprout, purchase tickets to a class, or attend a class. Sprout may use such personal information (whether identifiable or non-identifiable) to keep you informed of its new products or services, send you regular updates or newsletters, or news of special offers or events. Sprout will only use such information to contact you directly, or for its own website usage analysis or customer/market research purposes, and except as set out in this privacy policy or as required or permitted by law, Sprout will not disclose or sell your personal information to any third parties. Sprout will also use reasonable endeavours to safeguard your personal information against loss, theft, misuse or unauthorised access or disclosure.

Sprout may disclose your personal information to third-party service providers who perform services on our behalf. For example, Sprout may hire external companies to handle payment processing, host its website, provide goods, services, supplies or facilities, to assist in marketing or publicity, and so forth. Those third parties will only be provided with such personal information they need to provide the service, must protect personal information to the same extent as Sprout, and shall be prohibited from using it for any other purpose.

From time to time Sprout may feature links to external sites on its website. Sprout takes no responsibility for the privacy practices used by those sites. Similarly, when purchasing tickets to Sprout classes, you may be redirected to an external site. Sprout has made reasonable inquiries to satisfy it that this site is secure, however takes no responsibility for any breach of your privacy that may result from you using this site.

Definitions

Event refers to any:

  • cooking classes offered by Sprout;
  • demonstrations offered by Sprout;
  • Events in which Sprout is catering;
  • Events hosted by Sprout; and
  • food tours hosted by Sprout.

Person refers to any:

  • guests and/or individuals;
  • parents and/or guardians of any individuals and/or guests; and
  • members of the public; that attend and/or participate in a Sprout Event.

Product refers to any:

  • Recipes;
  • Resources e.g nutrition education flyers;
  • Retail goods; and
  • Branded goods.

Service refers to any

  • Online Services e.g online cooking demonstrations, webinars, social media takeovers, consultancy
  • Professional services e.g Nutrition consultation;
  • Presentations e.g Food presentation, nutrition presentation, cooking demonstration;
  • Provision of advice designed to achieve a specific outcome e.g corporate workplace health consultation, healthy policy advice;
  • Event hosting e.g event MC;
  • Catering; and
  • Any service or activity provided by a third party where Sprout contributes.

Sprout refers to Cook SA Pty Ltd trading as Sprout.
